HuRE Terms of Use & Payment Terms

These Terms of Use and Payment Terms govern access to and use of the HuRE Enterprise Digital platform, including the Web Core Dashboard, HuRE Staff App, HuRE Admin App, related modules, implementation services, support services, and other connected services provided by MODERNIZE Tech Insights Co., Ltd.

HuRE Enterprise Digital is a software-as-a-service HRM platform designed to support recruitment, employee management, attendance, payroll, employee self-service, HR/admin operations, reporting, compliance-related workflows, and multi-company or multi-branch workforce management.

HuRE Terms and Payment

1. Terms of Use

1.1 Acceptance of Terms

By accessing, subscribing to, implementing, administering, or using HuRE Enterprise Digital, you agree to be bound by these Terms of Use and Payment Terms, together with any related quotations, proposals, service agreements, implementation scope documents, privacy policies, support terms, order forms, invoices, or other written agreements issued or approved by MODERNIZE Tech Insights Co., Ltd.

If you use HuRE on behalf of a company, organization, recruitment agency, group company, branch, or other business entity, you represent that you are authorized to accept these Terms on behalf of that entity.

1.2 Eligible Users

HuRE is intended for business use by authorized companies, HR teams, administrators, managers, payroll users, recruitment users, employees, staff members, contractors, recruitment agencies, and other users approved by the subscribing customer.

Customers are responsible for ensuring that all users accessing HuRE are authorized and that user access is granted only for legitimate business, employment, HR, payroll, recruitment, attendance, or administrative purposes.

1.3 Account Responsibility

  • You are responsible for maintaining the confidentiality of account credentials, login information, and administrator access.
  • You are responsible for user access within your organization, including role assignment, permission control, and removal of unauthorized or inactive users.
  • You must promptly notify us if you suspect unauthorized access, credential compromise, data misuse, or security incidents.
  • You are responsible for actions taken through accounts under your organization unless caused directly by our proven system fault or unauthorized access resulting from our failure to apply reasonable security measures.

1.4 Permitted Use

You may use HuRE only for lawful internal business purposes related to HR management, recruitment, candidate management, employee management, attendance tracking, leave and request workflows, payroll support, payslip access, reporting, compliance-related administration, branch management, and authorized workforce operations.

1.5 Prohibited Use

  • You must not misuse, disrupt, reverse engineer, copy, resell, sublicense, exploit, or interfere with HuRE beyond the rights expressly granted to you.
  • You must not upload unlawful, infringing, fraudulent, malicious, abusive, harmful, or misleading content.
  • You must not attempt to bypass security controls, access another customer’s data, test system vulnerabilities without written permission, or interfere with service integrity.
  • You must not use HuRE to violate labor laws, privacy laws, tax laws, payroll obligations, employment rights, intellectual property rights, or any applicable legal requirement.
  • You must not use automated scraping, unauthorized bots, or abusive API calls that may affect service performance or security.

1.6 Customer Data

You retain responsibility for the legality, accuracy, integrity, and completeness of data submitted to HuRE, including employee data, candidate data, attendance records, leave records, payroll inputs, payslip information, tax-related information, NSSF-related information, HR documents, company structure, branch structure, user permissions, and other business data.

You represent that you have the right to collect, use, upload, manage, and process the relevant employee, candidate, HR, payroll, attendance, and business data within HuRE.

1.7 Employee, Candidate, and Payroll Data

HuRE may process sensitive employment and workforce information, including employee profiles, attendance records, payroll-related data, payslip information, candidate records, documents, leave requests, overtime records, and compliance-related records. Customers are responsible for ensuring that their collection and use of such data complies with applicable laws, internal policies, employment agreements, consent requirements, and privacy obligations.

1.8 Multi-Company, Branch, and Agency Structures

HuRE may support different organization structures, including single-company accounts, multi-branch companies, group companies, and recruitment agencies managing multiple client companies.

Customers are responsible for correctly configuring company, branch, department, role, user access, candidate access, and payroll rules. MODERNIZE Tech Insights Co., Ltd. may provide implementation guidance, but the customer remains responsible for verifying that the final configuration matches its business requirements and legal obligations.

1.9 Availability and Service Changes

We may improve, update, modify, suspend, replace, or discontinue features from time to time to maintain service reliability, security, scalability, compliance, product development, and operational performance. Where commercially reasonable, we will try to provide notice for material service changes.

1.10 Third-Party Services and Integrations

HuRE may integrate with or rely on third-party services such as cloud hosting, authentication, notifications, analytics, maps/location services, biometric or facial recognition devices, QR code systems, NFC systems, payment providers, SMS/email providers, and other technical services.

Third-party services may be subject to their own terms, privacy policies, availability, pricing, or technical limitations. We are not responsible for third-party service failure, pricing changes, outages, or policy changes outside our reasonable control.

1.11 Intellectual Property

HuRE Enterprise Digital, including its software, workflows, system design, UI structure, database structure, product branding, documentation, content, source code, modules, and related materials, remains the property of MODERNIZE Tech Insights Co., Ltd. or its licensors.

These Terms do not transfer ownership of HuRE or any related intellectual property to you. You receive only a limited right to access and use the service according to your subscription, quotation, or agreement.

1.12 Confidentiality

Both parties may access confidential information during implementation, support, training, or service use. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to HuRE service delivery, operation, support, payment, legal compliance, or the relevant business relationship.

1.13 Suspension or Termination

We may suspend, restrict, or terminate access to HuRE if you materially breach these Terms, fail to pay applicable fees, create security risk, misuse the service, violate applicable law, infringe rights, provide false information, or use the platform in a way that disrupts service integrity or harms other users.

For overdue billing, we may apply the staged billing enforcement process described in Section 2.8 below. You may also stop using the service subject to your signed commercial agreement, subscription commitment, minimum term, notice period, and any outstanding payment obligations.

1.14 Disclaimer

HuRE is provided as a commercial software service. While we work to maintain reliable performance, secure operation, and accurate system workflows, no platform can be guaranteed to be uninterrupted, error-free, or suitable for every business scenario at all times.

You remain responsible for business decisions, HR decisions, employment decisions, payroll verification, tax review, NSSF review, accounting treatment, legal compliance, and operational actions taken based on platform outputs.

1.15 Limitation of Liability

To the maximum extent permitted by applicable law, MODERNIZE Tech Insights Co., Ltd. will not be liable for indirect, incidental, special, consequential, punitive, business interruption, data loss, loss of profit, loss of revenue, loss of goodwill, or similar damages arising from or relating to the use of HuRE.

Any direct liability should be limited to the amount actually paid by the customer for the relevant service period giving rise to the claim, unless a separate signed agreement states otherwise.

1.16 Governing Relationship

If there is a signed quotation, order form, service agreement, implementation scope document, master services agreement, enterprise agreement, or other written agreement between you and MODERNIZE Tech Insights Co., Ltd., that signed document will control to the extent of any inconsistency with this page.

2. Payment Terms

2.1 Commercial Plans

HuRE may be offered in Basic, Pro, Enterprise, Agency, or other commercial packages. Plan pricing, setup fees, included modules, branch limits, company limits, user allowances, employee volume, attendance method, support level, implementation scope, and feature access depend on the package selected by the customer.

2.2 Pricing Model

HuRE pricing may include one or more of the following:

  • Monthly or annual subscription fees.
  • Employee-based or active-user-based fees.
  • Package-based minimum monthly fees.
  • Company, entity, branch, or location-based charges.
  • Setup, onboarding, migration, training, or implementation fees.
  • Add-on module fees, integration fees, hardware-related fees, support fees, or customization fees.
  • Other recurring or one-time fees stated in the quotation, proposal, invoice, order form, or signed agreement.

2.3 Setup Fees

Setup fees are one-time onboarding and implementation charges. Unless otherwise agreed in writing, setup fees are payable before project kickoff, implementation, configuration, migration, training, or production deployment begins.

Setup may include company setup, branch setup, department setup, role setup, employee import, payroll rule configuration, attendance rule configuration, leave policy setup, system walkthrough, training, or other agreed implementation services.

2.4 Subscription Fees

Subscription fees are billed based on the subscribed plan and pricing model communicated in the quotation, proposal, invoice, order form, or service agreement.

Subscription fees may be billed monthly, quarterly, annually, or according to the signed commercial agreement. Subscription charges continue until cancelled, expired, terminated, or changed according to the relevant commercial terms.

2.5 Taxes

All listed prices, quotations, setup fees, subscription fees, and service fees are exclusive of tax unless expressly stated otherwise. Applicable taxes, levies, duties, withholding obligations, bank charges, payment processing fees, or regulatory charges may be added or handled as required by local law and the applicable commercial agreement.

2.6 Add-Ons and Additional Scope

Additional modules, additional companies, additional branches, additional users, employee volume increases, extra storage, advanced reports, biometric or facial recognition integration, NFC integration, QR/GPS attendance setup, API integration, custom payroll rules, data migration, on-site training, premium support, and other add-ons may be charged separately according to the active pricing schedule or an approved quotation.

Add-ons become billable when activated, configured, delivered, or made available for the customer environment unless otherwise agreed in writing.

2.7 Invoicing and Due Dates

  • Invoices may be issued monthly, quarterly, annually, upfront, milestone-based, or according to the signed commercial agreement.
  • Unless otherwise stated in writing, invoices are due within the payment period stated on the invoice.
  • The customer is responsible for ensuring timely payment through the approved billing channel.
  • Payment is considered complete only when funds are successfully received and confirmed.
  • Any bank fees, transfer charges, payment gateway fees, or currency conversion charges may be the customer’s responsibility unless otherwise agreed.

2.8 Late Payment and Billing Enforcement

If an invoice remains unpaid, MODERNIZE Tech Insights Co., Ltd. may apply a staged billing enforcement process. During restricted or suspended status, HuRE may continue to allow access only to billing, invoice, payment, or limited account-settlement functions where technically available.

Continued non-payment may result in service restriction, read-only access, suspension, and eventual termination, subject to applicable law and any signed agreement.

Termination From day 90 overdue onward Terminated Service may be terminated. Reactivation, if permitted, may require outstanding payment settlement, internal review, and applicable reactivation conditions.

Operational notice: During any read-only or suspended stage, HuRE may limit access to only invoice, billing, payment, account settlement, or support functions where available so that the customer can review unpaid invoice(s) and complete settlement.

2.9 Sample Reminder and Enforcement Messages

Your company has been temporarily locked in read-only mode due to unpaid HuRE invoice No. HR32903283, issued on 24 March 2026, which is X day(s) overdue. Please complete payment to restore full access.

Sample suspension message

Your company has been temporarily suspended due to unpaid HuRE invoice(s) HR032903283, HR032904283, which are 30–59 day(s) overdue. Please review and complete payment to reactivate your HuRE services.

Sample final warning message

Your company is scheduled for termination due to unpaid HuRE invoice(s) HR032903283, HR032904283, HR032905283, which are 60–89 day(s) overdue. Please complete payment within the remaining grace period to reactivate your HuRE services and avoid account closure.

2.10 Upgrades, Downgrades, and Scope Changes

Customers may request upgrades, downgrades, changes in employee volume, additional companies, additional branches, additional modules, additional user access, new attendance methods, payroll scope changes, custom reports, integrations, or support level changes.

Pricing changes, feature availability, effective dates, implementation timing, and billing adjustments will follow the approved quotation, order form, invoice, or then-current commercial terms communicated by MODERNIZE Tech Insights Co., Ltd.

2.11 Refunds

Except where required by law or expressly agreed in writing, setup fees, onboarding fees, implementation fees, migration fees, training fees, customization fees, integration fees, and paid subscription charges are non-refundable.

Refund exceptions, credits, extensions, or commercial adjustments may be granted at our discretion or as stated in a signed agreement.

2.12 Payment Disputes

If you believe an invoice is incorrect, you should notify us promptly with reasonable detail before the due date. The undisputed portion of the invoice remains payable on time.

Failure to dispute an invoice within a reasonable time may be treated as acceptance of the invoice, subject to any signed agreement.

2.13 Renewal and Continuity

Subscription continuity, renewal timing, billing cycle, notice period, minimum commitment period, cancellation terms, renewal fees, and service continuity will follow the signed quotation, order form, invoice, or service agreement where applicable.

2.14 Cancellation

Cancellation requests must be submitted according to the notice period and procedure stated in the signed agreement, quotation, order form, or written commercial terms. Cancellation does not remove the obligation to pay outstanding fees, unpaid invoices, committed subscription periods, implementation fees, or other charges already incurred.

2.15 Data Export After Termination

After termination or cancellation, data export assistance may be available upon request and may be subject to technical feasibility, account status, outstanding payment settlement, support availability, and additional service fees. We may retain or delete data according to our data retention practices, privacy policy, signed agreement, and applicable legal requirements.
